This SDK License Agreement (the "Agreement") is entered into between you (the "Licensee") and Casterlabs ("Licensor").

  1. DEFINITIONS

    1.1 "SDK" means the software development kit provided by Licensor, including any updates, modifications, or enhancements thereto.

    1.2 "Licensee Application" means any software application developed by Licensee that links the SDK provided by the Licensor at compile time.

  2. LICENSE GRANT

    2.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable, revocable license to use the SDK solely for the purpose of developing, testing, and distributing Licensee Applications.

    2.2 Licensee may link the SDK in Licensee Applications at compile time for use by Licensee and Licensee's end-users.

  3. RESTRICTIONS

    3.1 Licensee shall not distribute or sublicense the SDK to any third party without the prior written consent of Licensor.

    3.2 Licensee shall not use the SDK for any purpose other than as expressly permitted under this Agreement.

  4. OWNERSHIP

    4.1 Licensor retains all right, title, and interest in and to the SDK, including all intellectual property rights therein.

    4.2 Licensee acknowledges that this Agreement does not convey any ownership rights to the SDK, and that Licensee's use of the SDK is subject to the terms of this Agreement.

  5. SUPPORT AND MAINTENANCE

    5.1 Licensor may, but is not obligated to, provide support and maintenance services for the SDK. Any such services shall be provided at Licensor's sole discretion.

  6. DISCLAIMER OF WARRANTIES

    6.1 THE SDK IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

  7. LIMITATION OF LIABILITY

    7.1 IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  8. TERMINATION

    8.1 This Agreement shall remain in effect until terminated by either party.

    8.2 Licensor may terminate this Agreement immediately upon written notice to Licensee if Licensee breaches any provision of this Agreement.

    8.3 Upon termination of this Agreement, Licensee shall cease all use of the SDK.

  9. GENERAL

    9.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

    9.2 This Agreement shall be governed by and construed in accordance with the laws of The United States, without regard to its conflict of law principles.

    9.3 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of The United States.

By using the SDK, the Licensee acknowledges and agrees to be bound by the terms of this Agreement.
