Academic Software License Agreement
Version 1.0
Effective Date: 01/01/2024
This Academic Software License Agreement ("Agreement") is entered into by and between Nicholas J. Browning ("Licensor") and the licensee ("Licensee"), who agrees to the terms herein. This license governs the use of the software ("Software") described below for academic and research purposes.
1. DEFINITIONS
1.1. Software: Refers to the program(s), code, data files, documentation, and any related materials provided by the Licensor.
1.2. Academic Use: Refers to non-commercial use for teaching, learning, or research purposes in academic institutions.
1.3. Licensee: Any individual or entity that agrees to and complies with the terms of this Agreement.
2. GRANT OF LICENSE
2.1. Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, royalty-free license to use the Software solely for Academic Use.
2.2. The Licensee may:
Install and use the Software on multiple devices within their academic institution.
Modify the Software for internal academic purposes, provided all derivative works remain subject to this Agreement.
2.3. The Licensee shall not:
Use the Software for commercial purposes.
Distribute, sublicense, or sell the Software or any derivative works to third parties.
3. OWNERSHIP AND COPYRIGHT
3.1. The Licensor retains all ownership rights, title, and intellectual property rights to the Software.
3.2. Licensee must include the following copyright notice in all copies or substantial portions of the Software:

4. LIMITATION OF LIABILITY
4.1. The Software is provided "AS IS," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement.
4.2. In no event shall the Licensor be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising out of the use of or inability to use the Software.
5. TERM AND TERMINATION
5.1. This Agreement is effective upon the Licensee’s acceptance and continues until terminated.
5.2. The Licensor may terminate this Agreement if the Licensee breaches any term of this Agreement.
5.3. Upon termination, the Licensee must destroy all copies of the Software, including any modifications or derivative works.
6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the [Jurisdiction/State/Country], without regard to its conflict of law principles.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements or understandings.
By downloading, installing, or using the Software, the Licensee agrees to the terms of this Academic Software License Agreement.
